as its governing board shall determine. The Beneficiary [Meadowkirk, Inc.] further shall have the options to change investment vehicles, reinvest the income into principal, accumulate the income, and received the income. The Beneficiary also retains the power to , upon sixty (60) days written notice, remove the Trustee from its duties and obligation under this Agreement and to appoint a Successor Trustee. Upon such remove the Beneficiary shall appoint a Pennsylvania qualified Bank or Trust Company as Successor Trustee. Upon written notice of formal discharge by the court with jurisdiction and notice of identity of the Successor Trustee, the Trustee shall assign, transfer and pay over the such Successor Trustee the then assets. Any Successor Trustee shall have the rights, power and duties of the original Trustee under this Agreement. The Beneficiary understands and agrees that the termination fee will be owing to the Trustee for this service at the standard rate currently in place by the Trustee and that upon approval of the final accounting, Beneficiary agrees that any accounting fees, attorney's fees and court costs which are outstanding are to be paid from the principal of the Trust. Upon transfer of the funds to the Successor Trustee, the Beneficiary understands and agrees to hold the current Trustee, harmless from any and all liability, claims and causes of action which may arise due to Trustee's prior actions or alleged negligence as Trustee.
